Welcome to CSSN Inc DBA AcuPixel (“CSSN,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our software-as-a-service platform and related services (collectively, the “Services”). By accessing or using the Services, you agree to be legally bound by these Terms. If you do not agree to these Terms, please do not use our Services. 

1. Acceptance of Terms 

By using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy, which is incorporated herein by reference. 

2. Eligibility 

You represent and warrant that you are at least 18 years old and have the full legal capacity to enter into these Terms. 

3. Account Registration 

To use certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account credentials secure. You are solely responsible for all activities that occur under your account. 

4. Use of Services 

You agree to use the Services only for lawful purposes and in compliance with all applicable laws, regulations, and these Terms. You agree not to:

• Use the Services for any fraudulent or unlawful purpose;
• Infringe upon any intellectual property or other rights of third parties;
• Upload or transmit any content that is harmful, offensive, defamatory, or otherwise objectionable;
• Interfere with the integrity or performance of the Services;
• Attempt to gain unauthorized access to any part of the Services or related systems.

Access to the Services may require payment of subscription fees or other charges. You agree to pay all fees specified at the time of purchase and understand that fees may change with prior notice. All payments are non-refundable unless expressly stated otherwise. 

6. Intellectual Property Rights 

All rights, title, and interest in and to the Services, including but not limited to software, content, trademarks, and logos, are owned exclusively by CSSN Inc or its licensors. You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes. You may not copy, modify, distribute, create derivative works from, or otherwise exploit the Services without CSSN’s express written permission. 

7. User Content 

You retain ownership of any content you upload, submit, or share through the Services (“User Content”). By submitting User Content, you grant CSSN a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, publish, translate, distribute, and display such content solely as necessary to provide the Services. 

8. Privacy 

Your use of the Services is also governed by our Privacy Policy, available at https://acupixel.com/t-privacypolicy.aspx, which describes how we collect, use, and protect your personal information. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy. 

9. Disclaimers 

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. CSSN DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS. 

10. Limitation of Liability 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CSSN, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION ARISING OUT OF OR RELATING TO YOUR USE OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO CSSN IN THE SIX (6) MONTHS PRIOR TO THE CLAIM. 

11. Indemnification

You agree to indemnify, defend, and hold harmless CSSN, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to (i) your use of the Services; (ii) your violation of these Terms; (iii) your violation of any rights of third parties; or (iv) any User Content you submit. 

12. Termination 

CSSN may suspend or terminate your access to the Services at any time, with or without cause, and without prior notice or liability. Upon termination, your right to use the Services will immediately cease. 

13. Governing Law

These Terms and any disputes arising out of or relating to them shall be governed by the laws of the State of California, without regard to its conflict of laws principles. 

14. Binding Arbitration 

14.1 Agreement to Arbitrate 

If a dispute (“Dispute”) arises between you and CSSN related to these Terms or the Services and cannot be resolved informally, you agree to resolve the Dispute through binding arbitration instead of in court, except for claims that may be brought in small claims court. 

14.2 Arbitration Rules

The arbitration will be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules, including the Supplementary Procedures for Consumer-Related Disputes, if applicable. The rules are available at https://www.adr.org/ 

14.3 Location and Costs 

The arbitration will take place in Los Angeles, California, unless you and CSSN agree otherwise. Each party will bear its own costs, except as otherwise provided by the AAA rules or applicable law. If the arbitrator determines that arbitration costs are excessive, CSSN will cover those costs. 

14.4 Arbitrator’s Decision 

The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction. The arbitrator must apply applicable law and may award any remedies permitted by law. 

14.5 Class Action Waiver 

You agree that any arbitration will be conducted on an individual basis only. Class, collective, or representative actions or arbitrations are not permitted. 

14.6 Exceptions 

This arbitration provision does not apply to disputes seeking injunctive or equitable relief to prevent actual or threatened intellectual property infringement, theft, or unauthorized use. 

14.7 Opt-Out 

You may opt out of this arbitration agreement by sending written notice to CSSN within 30 days of your first use of the Services. The notice must include your name, address, and email. 

15. Changes to Terms 

We may update these Terms at any time by posting the revised version on our website. Your continued use of the Services after any changes constitutes your acceptance of the new Terms. 16. Miscellaneous

• Assignment: CSSN may assign these Terms or its rights and obligations without your consent.
• Force Majeure: CSSN is not liable for delays or failures due to causes beyond its reasonable control.
• Severability: If any provision is found unenforceable, the rest will remain in effect.
• No Partnership: Nothing herein creates a partnership, joint venture, or agency relationship between you and CSSN.
• No Waiver: CSSN’s failure to enforce any right is not a waiver of that right.
